This is a Open Letter to Bill Hodson and the Management of Livewire Ergogenics and Apple Rush Rush Net and ADIA Nutrition & ANY and ALL Shareholders/Owners of LVVV APRU RSHN & ADIA. For Newer Shareholders You will have to catch up a bit because I am not going to get into a lot of background etc there is just no time for this in My life. I have put A Lot of time into this at this point & This will take much more as it is. I really hope this gets people some answers.
WOW So Many Questions!! I have added a Few Down Below and I am going to go ahead and Post a few of them here Just as the Stockholder Wrote them In fact I have 3 here that I Will share Below

THE RESPONSE WAS PRETTY QUICK AND VERY POSITIVE!!
I have talked with Management & As Expected they are MORE than Happy to Answer the questions that they can here in this letter! and Actually have already anwered about 1/3 of them ASAP!! Some will take a Few days but as I always say It will take time!
There is a Happy Medium to just how much time things should take and just how much should be said. You cant expect to Micro Manage everything a Company does However you CAN Expect a Clear Picture of what a 10k means when there is Conflicting information. That is NEVER good of course and Always something that Causes MASS Confusion in the Stockholders.
LVVV is more open than most ANY Penny Stock out there HOWEVER You Cannot expect everyone to send 2-4 Questions a day that are the same thing over and over... Perhaps the biggest problem with that is People them post emails from the company in the RSHN Board Its Copied to APRU and then to LVVV... Then Its Shared with ADIA....Or any Combination of that... WOW Its like 5th hand Information and the Email seems to get smaller and smaller till it only says
"To The MOON!!!"
That is No way for investors to get information and the fact the company is so willing to share it... This Information MUST be Organized and Kept track of so people are able to find what they need Without Asking a question to Bill he has answered 10 Times over.
Some of what I am trying to accomplish here is not seen yet and I really think You will dig the final Solution that is being worked on!
There is A Lot of Good things going on at LVVV. There is also A Lot of Hidden Shareholder Value and Untapped Value that is out there for Shareholders.We cannot be what we need to be unless We explain to the Investing World just what a GREAT Opportunity this is!
I have met with, Ate with & Interviewed both Bill & Tony and I honestly I Like these Guys and think they are good people. I believe what they are saying more than I believe any other Board of ANY other company I am invested in. One of the first things Bill EVER told me is "ASK ME ANYTHING I DON'T CARE!" And I have and Will. My point here is NOT to Blast them or make them feel bad or cause them problems. The problems are already here they are NOT that big and all are easily answered. Upon reading this letter or Post it may seem like it is all Negative and I will be the first to say.... Yeah there is a bit of bad things that NEED to be dealt with ASAP. However My intent is NOT to Tear Down LVVV in ANY way Shape or form! Our Opinions still matter and the questions that you and me have NEED to be answered in a Public Forum. There is not any Information in this letter that Investors are not asking on I Hub and Facebook or daily on My or other stockholders phones.

As shareholders We do NOT have proper Supplies to fight this Fight alone we Need help from the Company and I see some investors myself included trying SO hard to help Promote this stock and we are just hung out to dry with nothing to back up what we say. Being able to call in is nice but if it can be said on the phone and emailed to people who post it on boards then it can be put in a PR and Marketed!
Lately I have become a Proponent of Active Participation by Stockholders. As Stockholders there are MANY things we must consider when Planning what stocks to buy sell or Hold. There are SO many choices out there so when We happen upon one that is worthwhile it is VERY Important that Management be AWAKE at the Wheel Especially in a Sector like Pot Stocks Where ALL the Steam is right now. If the Companies we Invest in do not Do what they say and actually act like a real company then we as Investors Must Decide whether to leave our money in that Stock or move it around a bit and hope for a better shake at things.
I refuse to give up on something this HUGE like LVVV!
This is something I do not want to see happen here at LVVV and since the start of the year In my opinion as a Stockholder and Distributor things have went Grossly Downhill and Fast. And I am NOT just talking about share Price. I am saying The Message coming from LVVV has become less clear and there is no statements of things from Management even though there is news to be told and Questions people ask.
At this point out Newest Partner MJNA has put out more Information this Month on Livewire than LVVV has put out on itself. When LVVV Released their 10K they Knew the way things were outlined it would make there be questions. However Yet again Bill chose to release his Late 10K with No explanation or PR Call or ANYTHING to Highlight Current news. Even going so far as to release all the Convertibles and Restricted & Common shares sold with not even a mention of what the money is for or what the plan is for A Lot of it. I am sure that in this letter there are things that Cannot be Divulged however there is plenty of things that can. Why would Anyone ever talk about a extra 45 million shares issued and NOT Talk about all the Awesome things going on. Something could have been done or said from Conference Calls Investor meetings Even a PR there are many ways to make us ready for the shot..;-)
What About APRU with the current way things are at LVVV Just Imagine the Dilution and Reverse Split etc etc Who the heck Knows and it is Not really fair to all those stockholders to not have ANYTHING to say for so long This is Aside from the fact that Almost No mention on RSHN has been made whatsoever. What about these people? The fact of the matter is by not sending Clear messages about intent and such Management has Only chased LVVV Buyers to other tickers Artificially inflating the Prices of said Stocks.
Plus there is the whole debt issues to deal with at APRU. Even though that Does Not affect LVVV in the Structure THAT NEEDS TO BE UNDERSTOOD There is Dilution coming at APRU in a Big way its the only Possible way to deal with its Debt. Just being up front about this instead of giving the whole we are exploring options to increase shareholder value & going silent for 6 weeks. Like I say Who Knows what is Not able to be answered and what is.. Well actually Bill does and Something can be said. I know MOST of the questions are able to be answered because I have learned more about said plans by getting Forwards of Emails from bill sent Direct to Investors and Posted on I Hub The emails give more info than the PR's The last attempt was a Botched Conference call that Left us all hanging and was NEVER Brought up again and issues the people had in were just forgotten about.... By Management anyhow.
This Non Communication MUST Change there is No Way we can continue like this We NEED answers for our questions in a Timely manner. So much is just left to guess for all the Investors & It just should Not be like this. We cant have all the bashers on the boards using The Company's PR's and No responses Against us.

I for 1 am sick of seeing ANY CEO's Name called out like he is Moses or something. For the most part I think in most cases Lesser people in the companies are more Important to the company. To many times "John Knows the way" "Bill will do whats right for us" "Just a few more days and Peter will Deliver the goods!" Come on Really?? We dont even Really know them... Stocks are kind of like religion and people jump on the bandwagon and Promote for all they are worth. This Shareholder Promotion is a HUGE Value to the companies and It's VERY Rare to see ANY "CEO/ Board Member" Put Credit where Credit is due with the Shareholder who buy the Promises of Grand things to come & MORE Stock. and truly connect with them. Bill has done just that over time and Always been open with his answers!

Internet Investing & Its Effect on Penny Stocks.The Internet REALLY Changed the way that we Invest today It is SO Easy now! This has also Brought about ways to do deeper and more through investment Research. At the same time The Internet Reveloution outside of Investment has REALLY Changed the Face of How we find Information on most ANYTHING! Every Detail its all out there. To Boot we can simply Compare how many Search results there are for each term Convert them into a Formula that is related to Market cap and Price and a bunch more boring stuff. Next thing you know You Know A Lot about a Company and its Reach and Opportunities. So many things to consider it does get confusing at some point it can all relate back to Product VS Speculation
These are some things YOU can do at ANY Publicly traded company To Assertain Value Google it. Google the Board Members. Call the Company. Do they answer? Email the Company. Do they answer? Does the Company have a Website? Is it Current? Does the Company have Product? Can it be ordered on their Website? Does the Company run out of Product? How long does it take the Company to fill orders? How satisfied are clients & How does the company deal with them? What are people Saying on Public Forums? Read the 8K and the 10Q & 10K reports EVERY LINE!! Read ANY and ALL PR Reports! WOW Thats Just A Start as a Investor You should take Everything into Consideration that you can find! With ANY Average Investor being able to look up Information like this Management of Publicly Traded Companies have A Responsibility to make sure and do EVERYTHING Possible to make that Company look good when people actually research it! I mean Really It is Important that there is Actually Information on the Company to find. That Information should be in line and as Frequent as Other companies doing the same thing. And ANY bad should be addresses and NOT just Left to Stockholders to defend on Investors Hub and Yahoo. |
We as Stockholders need to be Vigilante in making sure that the Management is doing what they say they are at the stocks we own shares in. We owe it to ourselves to move this money once proper chance has been given and Managemant fails to deliver. I have watched time and Time again as Management at LVVV Drops the Ball and muffs up and then expects to just say Nothng about it leaving Longs hanging out to dry with No ammo to defend ourselves against Trolls and Nay Sayers on I hub and other social networks

However this Growth has brought many things that were just small problems back then..However at this Level these Problems are MUCH bigger and when you are Bleeding % per share by the Minute ANY hands you can get slowing the Blood loss is needed.

Some Preview Questions from Subscribers Distributors and InvestorsPaypal Integration Come on this is Simple to add to the website it takes a few Hours if your paying someone & We are supposed to have this in house its part of the company according to the 10k. This is SUPER Easy and should have been done LONG ago! New Accounts Why dont we see regular additions to the number of accounts around the office and in the general LA Area is the company still signing up locations? the Map & Locator is over a year old. and it seems this would be low hanging Fruit for us. But no new accounts. Shipping and Distribution Issues! To many Complaints for me to count. This is for SURE a Top 3 Problem Area for LVVV The Free Chew deal was a Nightmare and I personally only Got a confirmation a label had been printed 17 days after I ordered them. A lot of people who own stock and NEW Clients ordered that Special and not shipping it out was VERY Counter Productive! This should be one of the Easiest Ares to Thrive and really Make them Happy Throw out a "Thank you for Your Order Email" Throw a Pog in there I dunno ANYTHING? UPDATE!!! From Recent Emails sent on Shipment Problems and The Way that Packages have Shipped on this run WOW Bill is Right on Top of the Shipping Issues and I see Improvement right now!! Is Product & Promo Material Made and in Stock? Yeah seems we are always out of something and there is no money and time to make it. I have a lot of distributors complaining they cant get hats or shirts and I keep getting told we are out and waiting Next Week.... That's 3 months of next week. Having No Money for the very things we need in Normal Business and at the same time having Plenty of money and time for New and Improved deals. I just don't know how to take this. If we cant keep the products we sell in stock and Ship out what we sell then there is no need to grow we will NOT be able to handle it. What does Management think they can do to fix this & be able to keep better Inventory Controls? Who Owns the Equipment? Over and Over We have heard everywhere How we Now make our own Product and can now do the same for ADIA and APRU/RSHN However in the 10k it plainly states that you use a Contract Manufacturer that we are not even a large client of... The part about someones Wife owning 8% of the manufacturer No one seems to understand this is the first we have heard. No not a press release just a line we have to find... Really I guess its Not a World of difference but when we tell people one thing and you release information that is not the same as previous Information it makes us look bad. So what Happened did the Machinery fall off the truck in the move? It was a Known fact LVVV had the machine now its a Stated fact that we do NOT have the Machine. MANY people want to know... Whats the real story here it seems we all believe something Different?? A GrassRoots Effort that is Being Squandered It seems like every week there are 2-3 more and now there are a Dozen people that just I have come across that were SUPER Troopers for LVVV and NEVER were ANY of the investors sent product the Number of people I run into that own a HUGE amount of LVVV and have never tried it has been amazing. What do you plan to do to make sure that you are Not wasting your most valuable resource... Shareholders willing to Market for free? TOTAL Clarity on Corporate Structure and how it affects each entity LONG BORING AND REAL!! A Update on things as the progress Dreaming up Hempwire as a "Right Now" Corp before even a mention of Livewire Herbacuticals or ANY LVVV Branded CBD Product that was already announced was confusing for MANY People and the way it was rolled out has REALLY Cost Shareholder Millions over the past weeks! We Need a LONG Boring Explanation WITH BUBBLES All the Corps, Shells and Have they all relate to each other. We Need a Clear Vision of what we do to show people. I BELIEVE but How can You show everyone how this works? Where do we stand with the ADIA Deal. Really it does Not have to be done yet but a PR Every 6 Months would be GREAT! What gives here with the new Equipment Question Above it even casts more question on this deal. I get questions from Distributors as to if we can carry the ADIA product however I was told NO we do not have any Inventory and the Website was taken Down... Now however Website is UP again and ALL Products are for sale. Surly if you made product you would have said something in a PR... Well no I cant assume that Please shed some light on this deal. Where do we stand on the APRU / RSHN Deal. Yea Yea Things take time and all that crap... It is really not right to leave people that were in that stock and people who left here out in the cold like that... Reveres Split.. Yeah Very Likely with so many shares out but if that the case lets do it and Roll on... At this time things are SO Unclear and No one really knows what is going on... With the way things happened in the 10k here is makes me think there are Massive Restructurings and Deals going on with APRU and it will be VERY Interesting to see what Happens there. However SOMETHING Anything would be just Great. YES you made Mention of it in the 10k but after paying to do all the work on the books.. You HAVE to say something and Well Lets just say it seems like APRU's Debt would have been taken care of Before we spent the monies on accounting. I believe in Tony dealing Prowess however inquiring minds want to know!Its Understood some thing cannot be discussed but this is too long with nothing What is the status of Livewire Probiotics? They were announced to be released during Q1. We have not heard many details since late December. it is now Q2 Can you tell us flavors? Will they have Caffeine (Energy Probiotics)? are they still gong to be made? Unaccounted for Shares listed in the last 10K report. Investors understand that shares need to be used to finance operations until the company becomes profitable. Can you explain the 45 million shares issued over the last 6 months? Besides Paying bills what did we get from a 50% outlay of shares? Growth & Shareholder Value LVVV has been growing very quickly over the last few months. We are excited by the growth we have seen. What are your expectations for Revenues and Profits during the remainder of 2014. What will you be doing to protect shareholder value going forward? Growth does not come cheap. MJNA Hempwire deal VS In House CBD Chew YES this is a Awesome deal with MJNA and I am excited as a Long time stockholder in both companies It should bring us great Bottom Line Revenue for LVVV. However this deal has really left A Lot of Questions for LVVV Since we all were waiting for our own CBD Chew... This is not the end of the word and Does not really change a whole lot... WHY?? Well LVVV Could have never made so much CBD Product or git the Base Materials at a Good rate. We dont have the money to buy all that CBD to put in the product. So this deal with MJNA is VERY nice and should Shore up the Abilities of LVVV and its new Shell! The LVVV or APRU CBD Chew what Give is it still being made? When can Distributors sell it?? Product Flavor and Strength Granted it is a Energy Product but some people complain of the After taste on a Few Flavors and Most Want More Caffeine. I under stand this means we want MORE of what makes it have the aftertaste.. However I must ask is there any ongoing Batches being tested for Different Flavor concepts & Strengths? Location Locator. Its just a Layer in a Google map Seriously no matter how small this seems this is SO Easy to Do its Pathetic. NONE of the New Investors that have turned Distributor are on the Company Website for almost 4 months and the locator has NOT been updated for over a year. I found Waldo But how about Brad Nichols? Really I have had a Few people ask this... Brad is the Largest Shareholder of LVVV and A entire Wing of LVVV is what he runs.. Why do we never hear from him. Brad has a HUGE Investment here and i KNOW he just HAS to care but we sure would like to hear about it and hear he believes.. Brad is listed as President and Chief Operating Officer.. Also he is the ONLY other Board Member. Livewire needs to Establish Brad Nichols He needs to Stand with us as the LARGEST Shareholder! Clarity on the Machines or Manufacturing Process Its here twice cause it is one of the Top Questions! Especially with the ADIA Deal... This like so many other deals here is just something no one understands and something that Management has NOT Commented on in about half a year. Now after you said in a PR that most all of the product is expired and we cant sell any then 3 months later the website is up and all the products are Live.... No PR No Nothing.. SO what Changed?? DO we have products to market now or?? If so I do have many that have asked about them and are ready to start selling. I would think that if we actually had started selling products again that there would have been some sort of PR.... Hell I would think Releasing the ADIA Website again would have warranted a PR as well. Employee Management Employees that carry out tasks and have responsibilities are needed badly from what I can tell from the outside. There is No way that it should take 3 weeks to ship out ANYTHING! When we get Shipments from Livewire they have been shipped in a Poor Manner. Costing the Company 30% to 50% more than is needed. In the newest 10k It is told to us that you dont know how to or if you can manage your own growth right now.. WOW Were busting our ass out here and that is NOT Encouraging to hear! How is this being remedied? There are distributors that would work for shares and do some tasks.. I dont know how you plan to deal with any of it because nothing is said by management. We need to hear how this will be dealt with... And We NEED to hear something NOW! Share Structure Information on LVVV I get this one A LOT and its just simply How many shares are out there? At one time it was novel that there were not so many "Fluff" reports etc from the company but now living the reality it is Obvious that LVVV has not really made that connection with people yet.
In Sept - Dec LVVV was worth 10 times as much as FITX Now a few short months later even with the fall FITX has advanced almost 40 Times more than LVVV. This is just 1 Random one.. One that Also was late to the Marijuana Game. However Bill Chaaban at FITX has Proved He Knows something about the market and product he is working with. FITX has Embraced what it does and is making HUGE gains. Management at livewire is Scarred to say one way or another if we are or are not in this Marijuana Sector. Today on I Hub the Bashers were fighting with each other about if LVVV is or is NOT a Pot stock! LOL Pretty funny to see them fight among themselves But it sent a Very Clear message that NO ONE Knows whats going on here just yet! At the very least a PR When you make a 10k You know good and well will not have a Positive effect on the Stock. Companies Regularly do a PR at this time and Not only that but a Conference call and a Vote as well. We all Need a FRESH Burst of Energy!
Most of us are Sick of Or just Plain HATE out Jobs. Daily Grind on and on and on.... The CEO's of public companies are no different. It never changes its just paperwork or deals or whatever the case may be. As Investors Perhaps the Energy seen on a Stock is HUGE in that Investors life. Its something NEW Something Exciting.... This is the Biggest Attraction to Investing... Something NEW Something that is WOW in our lives. And when it comes to Penny Stocks LOOK OUT!! They SELL SELL SELL on their Investors area of their websites. Its all Marketing and when you throw Forums like I Hub (Investors Hub) into the Mix the constant stream of new people stumbling along this information is also a Constant Positive chatter. Problem is its just the same old rehashed information Over and Over again.
I have MANY Businesses and I have websites I have not touched for 5-7 years. They look old and outdated but they bring in Thousands per month. These sites are valuable assets and as time goes on the will rise in popularity. Some Public Penny Stock companies take this just too far though and leave up a defunct website with information SO Old and Outdated it becomes a Problem in its own rite. Such is the case with a few of our own sites Apple Rush and ADIA We dont even have product in 1 of them for sure and the other Management said we only had expired product but now its all for sale again so Which is it?

Its been about 6 weeks since first announced and almost 3 weeks since people ordered and No one has received them Yet.
When My businesses were Starting and even Now when I have no help I Personally do Mailouts... That does not change because your a CEO or a board member of a public company.
If there is no one to send out orders The Job of Management is to Handle these issues and Quick! None of the Buyers even Got a Email with a Message saying THANK YOU for 3 weeks This is NOT something that makes us look good
Management Never got behind their own Specials Or posted them on Facebook...Just leaving the sales to chance and putting ALL the Sharing and Marketing to Investors and Distributors.
This However brings up a Much Bigger problem that has really been a problem for me from day 1. Our distribution network. It is NOT working Correctly & the Problem starts with Shipping! We do NOT Ship product as any company should. there are no methods setup for it Obviously and the Point that are talked about in depth in the 10k show that Management Does Not even know how to deal with this issue & does not know how to handle the Growth happening now. It does not make a lot of sense to keep trying to grow when we cant handle the growth that has happened so far. We deserve some Answers.

Before anyone thinks it Odd Funny or Dumb that a "Open Letter" like ones by Mr Carl Icahn or Warren Buffet, Bill Ackman etc is being written. Or that it is NOT even worth it for a Penny Stock with a Bunch of Preferred shares that make our vote not count... HELL YES its worth it. I have LONG Though Mr Icahn to be possibly the most underrated Investor EVER But that aside No matter HOW Small the company No Matter what Your Words and Your Wants Carry weight and even more so here in a Small company!
Do not let Management "Manage" You Their job is to manage the Company Not stockholders.. They work for you and the minute you think they dont have your best interest at heart after getting your answers you should FIRE them by selling. Stockholders and PR's about your Business MATTER A lot..

They could release a 2 Million dollar order today and Still we would still have these issues so no matter what its time to see what they have to say again,
I guess in a nutshell I am saying I believe in Management. I am LONG on LVVV I LOVE the Product, However Management MUST Quit hiding behind a few of us Stockholders that are defending them & Fighting all the Battles for them. At the very least they need to Give us some backup! Sitting around in the Generals Tent is NOT where they should be They Should be on the Front Lines.... This is a very Social market that depends on Facebook posts Tweets Blogs and PR's and I think it is time Management starts doing its job and Making some posts instead of leaving these details to part time employees and Share holders.
